These Terms and Conditions (“Terms”) govern your use of the fastminds platform (“Service”) operated by Fastminds AI Ltd, a company incorporated in England and Wales with company number 16720838 and registered office address at 9 Thorney Leys Park, Witney, Oxfordshire, United Kingdom, OX28 4GE (“we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms, including any supplemental terms for specific features. If you do not agree, you must not use the Service.

We may revise these Terms from time to time. The “Last updated” date will be updated accordingly. Continued use after changes are posted means you accept the new Terms.

1. Our Services

The Service is currently in a pilot phase and is being made available on a limited basis for testing and feedback. Features, functionality, and design may change, sometimes without notice, as we develop and refine the Service.

During this phase, the Service may not always be available, perform consistently, or operate without errors. We cannot guarantee uninterrupted access, specific outcomes, or that particular features will remain available for any set period.

By participating in the pilot, you acknowledge that the Service is provided primarily for evaluation purposes and that your experience may differ from that of other users or from future versions of the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement and that you have the right and authority to agree to these Terms.

3. User Representations

By using the Service, you represent and warrant that:

  • All information you submit is truthful, accurate, and current.
  • You have the legal right to share any content you provide, including resumes/CVs, LinkedIn profiles, or other work history documents.
  • You will comply with all applicable laws and regulations in your use of the Service.

4. Accounts and Registration

Some features may require you to create an account. You agree to:

  • Provide accurate and complete information during registration.
  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activities under your account, whether or not authorised by you

You must inform us promptly if you believe your account has been compromised. We may suspend or terminate access where account security is at risk. We may refuse, merge, reclaim, or remove usernames that are inappropriate, misleading, or infringe third‑party rights.

5. Prohibited Activities

You may not use the Service to:

  • Engage in unlawful, fraudulent, deceptive, or misleading activities.
  • Upload or transmit content you do not have the rights to share.
  • Scrape, crawl, or harvest data without our prior written consent.
  • Harass, abuse, or harm another person, or post hateful or discriminatory content.
  • Upload or transmit malware, or attempt to bypass security features or disrupt the Service.
  • Reverse engineer or attempt to derive the source code of any part of the Service, except where permitted by law.

6. User Content and Licence

You retain ownership of all content you submit (“User Content”). By submitting User Content, you grant us a non‑exclusive, worldwide, royalty‑free, transferable, and sublicensable licence to use, store, process, reproduce, display, and create derivative works from that content as necessary to operate, maintain, secure, improve, and promote the Service (including model and feature quality during the pilot).

You are solely responsible for your User Content and any consequences of providing it. We are not responsible for the accuracy, legality, or reliability of any User Content. We may remove or restrict access to User Content that violates these Terms or applicable law.

7. Third‑Party Websites and Content

The Service may link to or display content from third‑party websites and services (for example, LinkedIn, hosting providers, analytics, or AI vendors). We do not control and are not responsible for third‑party content, policies, or practices. Your use of third‑party websites and services is at your own risk.

8. Service Management

We may, at our discretion, monitor the Service for violations of these Terms; take appropriate legal action against anyone who violates these Terms; restrict or disable access to any User Content; and otherwise manage the Service to protect our rights and ensure proper functioning.

9. Modifications and Interruptions

We do not guarantee the Service will be available at all times. We may change, suspend, or discontinue the Service (in whole or part) without notice. We will not be liable for any loss or inconvenience caused by your inability to access or use the Service during downtime, changes, or discontinuation.

10. Supplemental Terms

From time to time, we may publish supplemental terms for specific features (for example, matching tools, recruiter dashboards, or advisor features). Those supplemental terms apply in addition to these Terms. If there is a conflict, the supplemental terms will govern for that feature.

11. Intellectual Property Rights

Except for User Content, all intellectual property rights in the Service (including software, text, design, logos, and other materials) are owned by us or our licensors. You may not copy, modify, distribute, publicly display, or create derivative works from any part of the Service without our prior written consent, except as permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any losses, damages, liabilities, claims, demands, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your breach of these Terms;
  • Your violation of the rights of any third party (including intellectual property, privacy, or publicity rights); or
  • Any harmful act toward another user.

13. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non‑infringement, and course of performance. We do not warrant that the Service will be error‑free, secure, or uninterrupted, or that results will be accurate or meet your needs.

14. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service.

Our total liability to you for all claims arising out of or related to the Service will not exceed the greater of £100 or the total amount you have paid us for access to the Service in the 12 months immediately preceding the event giving rise to the claim.

AI-Powered Matching and Recommendations

You acknowledge that the Service uses AI-powered systems to recommend fractional leaders for roles.

While we test and evaluate outputs to reduce bias, we do not guarantee that recommendations will be free from errors, bias, or unintended outcomes, including impacts on individuals or groups (including those in legally protected classes).

The suitability assessments used by the Service mean that some users will be recommended more often than others, and some may not be recommended at all.

To the maximum extent permitted by law, we will not be liable for any claim arising from:

  • perceived bias, unfairness, or discrimination in the Service’s outputs;
  • differences in the frequency or quality of opportunities presented to different users; or
  • any failure to recommend a user for a particular role or opportunity.

Candidate Recommendations and Due Diligence

Our Service may suggest or introduce fractional leaders, executives, or advisors (“Candidates”) to businesses or recruiters (“Clients”). We do not verify, endorse, or guarantee any Candidate’s qualifications, suitability, performance, or conduct.

All hiring, engagement, and contracting decisions are the sole responsibility of the Client. Clients must perform their own due diligence, such as interviews, reference checks, and background assessments, before engaging any Candidate.

To the fullest extent permitted by law, Fastminds AI Ltd will not be liable for any loss, damage, claim, or cost (including legal fees) arising from or related to:

  • any Candidate’s acts, omissions, performance, or misconduct;
  • any mismatch, dissatisfaction, or dispute between a Client and a Candidate; or
  • any damages, liabilities, or legal actions resulting from a Client’s decision to engage or not engage a Candidate.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including under applicable equality, employment, or consumer-protection laws.

15. Electronic Communications

You consent to receive communications from us electronically (for example, via email, in‑product messages, or notices on the Service) and agree that those communications satisfy any legal requirements for written communications.

16. International Users

Our Services are operated by Fastminds AI Ltd from the United Kingdom and are subject to the laws of England and Wales. We make no representation that the Services are appropriate or available for use in other locations. If you access the Services from outside the United Kingdom, you do so at your own risk and are responsible for compliance with any applicable local laws.

Regardless of your location or citizenship, we will extend the same contractual protections and dispute resolution procedures to all users as set out in these Terms. However, we do not warrant that the Services comply with all laws and regulations of every jurisdiction.

If you are a user located in the United States, you acknowledge that you are waiving any right to bring a claim as part of a class action and agree that any dispute will be subject to the Governing Law and Dispute Resolution provisions set out in these Terms.

17. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction over disputes with Fastminds AI Ltd. Before commencing proceedings, the parties will attempt in good faith to resolve disputes through discussions between senior representatives.

18. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including where you breach these Terms or where we discontinue the Service. Upon termination, the licence granted to us under “User Content and Licence” will continue only as necessary for legal, compliance, security, backup, and audit purposes.

19. User Data

We maintain certain data you submit for the purpose of operating the Service. You are responsible for backing up your own data. We will not be liable for any loss or corruption of data. Data handling practices are further described in our Privacy Policy.

20. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our consent. We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets of Fastminds AI Ltd.
